SERVICE AGREEMENT (PUBLIC OFFER)

Effective Date: 27 December 2024
This Service Agreement ("Agreement") is entered into by and between Individual Entrepreneur ANTON MELEKHIN, a sole proprietor operating under the laws of Georgia, with a principal place of business at Georgia, Batumi city, Tamar Mephe avenue, N 22a ("Service Provider"), and any individual or entity ("Client") who accepts this public offer by using the services provided by the Service Provider.
Public Offer
This Service Agreement constitutes a public offer by Individual Entrepreneur ANTON MELEKHIN ("Service Provider") under the laws of Georgia. By using the services provided on the platforms sitecenter.org and sitecenter.app, the Client acknowledges and agrees to the terms of this Agreement.
Acceptance of the Offer
The Client accepts this public offer by completing registration on the platforms, paying for the services, or using the services offered by the Service Provider.
1. Services Provided
The Service Provider agrees to provide monitoring services for hosts, domains, and websites (the "Services") through the platforms located at sitecenter.org and sitecenter.app (the "Platforms"). The Services include but are not limited to:
1.1. Monitoring uptime and downtime for specified hosts, domains, and websites.
1.2. Sending notifications to the Client in case of outages or performance issues.
1.3. Providing analytics and reports on the performance and availability of monitored assets.
1.4. Additional features and tools as may be offered on the Platforms from time to time.
2. Client Obligations
2.1. The Client must provide accurate and up-to-date information about the assets to be monitored.
2.2. The Client is responsible for ensuring the compatibility of their systems with the Platforms.
2.3. The Client agrees to use the Services only for lawful purposes and in compliance with all applicable laws and regulations.
3. Fees and Payment
3.1. The Client agrees to pay fees for the Services as outlined on the Platforms or as otherwise agreed upon in writing.
3.2. Payment terms, including due dates and accepted payment methods, are specified on the Platforms. Late payments may result in suspension or termination of Services.
4. Term and Termination
4.1. This Agreement will remain in effect until terminated by either party.
4.2. Either party may terminate this Agreement by providing 30 days written notice to the other party.
4.3. The Service Provider reserves the right to suspend or terminate the Clientโ€™s access to the Services immediately if the Client breaches this Agreement.
5. Limitation of Liability
5.1. The Service Provider shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the use of the Services.
5.2. The Service Providerโ€™s total liability for any claim arising under this Agreement shall not exceed the amount paid by the Client for the Services in the three (3) months preceding the claim.
6. Confidentiality
6.1. Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of this Agreement.
6.2. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
7. Data Protection
7.1. The Service Provider will process personal data in compliance with applicable data protection laws.
7.2. The Client is responsible for ensuring that their use of the Services complies with applicable data protection regulations.
8. Intellectual Property
8.1. The Service Provider retains all rights, title, and interest in the Platforms and the Services, including all intellectual property rights.
8.2. The Client may not copy, modify, distribute, or reverse engineer any part of the Platforms or the Services without prior written consent.
9. Governing Law and Dispute Resolution
9.1. This Agreement shall be governed by and construed in accordance with the laws of Georgia.
9.2. Any disputes arising out of or in connection with this Agreement shall be resolved through good-faith negotiations. If the parties cannot resolve the dispute, it shall be subject to the exclusive jurisdiction of the courts of Georgia.
10. Miscellaneous
10.1. This Agreement constitutes the entire agreement between the parties regarding the Services and supersedes any prior agreements.
10.2. Any amendments to this Agreement must be made in writing and signed by both parties.
10.3. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

By using the Services, the Client acknowledges and agrees to the terms of this Agreement.
